Terms of Service

Effective date: 6 April 2026

These Terms of Service (“Terms”) are a legal agreement between you and ZERONOISE AI LTD (company number 17083711), a company registered in England and Wales with its registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom (“ZeroNoise”, “we”, “us”, or “our”).

By creating an account or using our service, you agree to these Terms. If you do not agree, do not use ZeroNoise.


1. About the Service

ZeroNoise is an AI-powered content intelligence platform. You create intelligence agents that monitor sources you select, analyse content, and generate cited briefs (“Briefs”). The service is a user-directed research tool — you control what is monitored and how output is generated.

2. Eligibility

You must be at least 13 years old to use ZeroNoise. If you are between 13 and 17, you must have permission from a parent or legal guardian, and that person must agree to these Terms on your behalf.

By creating an account, you confirm that you meet these requirements.

3. Your Account

  • You are responsible for keeping your login credentials secure and for all activity under your account.
  • Provide accurate information and keep it up to date.
  • Do not share your account or credentials with others.
  • Notify us immediately at support@zeronoise.ai if you suspect unauthorised access.

We may suspend or terminate accounts that violate these Terms.

4. Organisations and Workspaces

ZeroNoise accounts operate within Organisations.

  • Personal organisations have a single owner and are billed individually.
  • Team organisations support multiple members with role-based access (owner, admin, member) and shared billing.
  • Workspaces exist within organisations. They can be private (personal to one member) or shared (accessible to team members). Agents belong to a workspace.

The organisation owner is responsible for member activity and for managing billing.

5. Acceptable Use

You may:

  • Create agents for personal or business research
  • Share agents publicly for others to discover and subscribe to
  • Subscribe to public agents created by other users
  • Export your data

You may not:

  • Violate any applicable law or regulation
  • Infringe the intellectual property rights of others
  • Distribute malware or harmful code
  • Harass, abuse, threaten, or harm others
  • Attempt to scrape, reverse-engineer, or copy our technology
  • Create fake accounts or manipulate service metrics
  • Use the service to monitor individuals for unlawful surveillance
  • Circumvent usage limits or billing controls
  • Use the service in any way that could damage, disable, or impair it

We may suspend or terminate accounts that breach these rules, with or without notice.

6. Subscriptions and Billing

Plans

ZeroNoise offers free and paid subscription plans. Plan details, features, and pricing are described on our pricing page. We may change pricing at any time, but changes take effect only at the start of your next billing cycle. We will notify you of material price changes in advance.

Billing

Paid subscriptions are billed monthly through Stripe, our payment processor. By subscribing to a paid plan, you authorise us to charge your payment method on a recurring basis.

Usage and Overage

Paid plans include a monthly usage allowance. Operations (such as content analysis and brief generation) consume credits from this allowance. If you exceed your included allowance, additional usage may be billed as overage depending on your organisation’s overage settings. You can configure overage controls in your organisation’s billing settings.

Trials

We may offer free trial periods for paid plans. Trial terms (duration, usage allowance, and card requirements) are presented at the time the trial is offered. At the end of a trial, you may upgrade to a paid plan or your organisation will revert to the free plan.

Cancellation

You may cancel your subscription at any time through the Stripe billing portal. Upon cancellation:

  • Your access to paid features continues until the end of the current billing period.
  • No refunds are issued for partial billing periods.
  • Your organisation reverts to the free plan at the end of the period.

Cooling-Off Period

If you are a consumer in the United Kingdom or European Economic Area, you have a 14-day right to cancel from the date of purchase under the Consumer Contracts (Information, Cancellation and Extra Charges) Regulations 2013. To exercise this right, contact support@zeronoise.ai within 14 days of your purchase. If you have already used the service during the cooling-off period, we may deduct a proportionate amount for the service provided up to the point of cancellation.

Failed Payments

If a payment fails, we will notify the organisation owner. Your subscription may be marked as past due, and active agents may be paused until payment is resolved.

7. Content and Intellectual Property

Your Content

You retain ownership of everything you create on ZeroNoise, including agent configurations, instructions, and settings. You grant us a non-exclusive, worldwide licence to use your content solely to provide, maintain, and improve the service for you. We do not use your content to train machine learning models.

AI-Generated Content

Briefs, notes, and other AI-generated outputs are created based on your instructions. You may use this content for any lawful purpose. We do not claim ownership of AI-generated content.

AI-generated content may contain errors, omissions, or inaccuracies. It is not professional advice. Always verify important information from original sources before acting on it.

Third-Party Content

ZeroNoise aggregates content from sources you select (such as social media platforms, video channels, newsletters, and web feeds). We act as a tool facilitating your research — we do not independently republish third-party content. Original creators retain all rights to their content. You are responsible for ensuring your use of aggregated content complies with the applicable source platform’s terms of service.

Public Agents

When you make an agent public, other users can view, subscribe to, and clone it. If you later make a public agent private, existing subscribers retain access to briefs generated while it was public.

Our Intellectual Property

ZeroNoise, its technology, design, branding, and all content we create are owned by ZERONOISE AI LTD and protected by copyright, trademark, and other laws. You may not copy, modify, or create derivative works from our service without our written permission.

8. AI Services

ZeroNoise uses artificial intelligence services from third-party providers to process content and generate briefs.

When you use the service:

  • Your agent instructions and content from your monitored sources are sent to these AI providers for processing.
  • We do not send your personal information (name, email, payment details) to AI providers unless you include it in your agent instructions.
  • Each AI provider processes data under their own terms and policies.
  • We may change which AI providers we use at any time without notice.

Important limitations:

  • AI-generated content may be inaccurate, incomplete, or out of date.
  • The service does not provide professional, financial, legal, or medical advice.
  • Service availability depends on third-party AI provider uptime, which is outside our control.

9. Third-Party Platform Terms

Content is sourced from third-party platforms and web feeds. You are responsible for ensuring you have the right to access the sources you add to your agents. We may restrict access to specific source types or platforms if required by changes in platform policies.

10. Copyright and Takedown

We respect intellectual property rights. If you believe content accessible through ZeroNoise infringes your copyright, please send a written notice to legal@zeronoise.ai that includes:

  • A description of the copyrighted work you believe has been infringed.
  • A description of the material you believe is infringing, with enough detail for us to locate it.
  • Your contact information (name, address, email, phone number).
  • A statement that you have a good-faith belief that the use is not authorised by the copyright owner, its agent, or the law.
  • A statement that the information in your notice is accurate, to the best of your knowledge, and that you are the copyright owner or authorised to act on their behalf.

We will investigate valid notices and may remove or disable access to the material in question. We may terminate accounts that repeatedly infringe copyright.

11. Data Export and Deletion

  • Export: You may request a copy of your data by contacting support@zeronoise.ai. We will fulfil export requests within 30 days.
  • Deletion: You may request deletion of your account at any time by contacting support@zeronoise.ai. Upon confirmation, your data will be removed within 30 days, except where we are required to retain it by law (for example, billing records, which are retained for 7 years).

12. Service Availability

We aim to provide a reliable service but do not guarantee uninterrupted access. We may:

  • Perform scheduled or emergency maintenance.
  • Modify, add, or remove features at any time.
  • Impose or adjust usage limits to maintain service quality.

We will make reasonable efforts to notify you of material changes or extended downtime in advance.

13. Disclaimers

To the fullest extent permitted by law, the service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence.
  • Fraud or fraudulent misrepresentation.
  • Any other liability that cannot be excluded or limited under English law.

If you are a consumer in the United Kingdom, your statutory rights under the Consumer Rights Act 2015 are not affected by these Terms.

14. Limitation of Liability

To the maximum extent permitted by law, our total aggregate liability to you for any claims arising out of or relating to these Terms or the service is limited to the greater of: (a) the total amount you paid us in the 12 months before the claim arose, or (b) GBP 100 (or the equivalent in your billing currency).

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, however caused, even if we have been advised of the possibility of such damages.

15. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless ZERONOISE AI LTD, its directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the service.
  • Your violation of these Terms.
  • Your infringement of any third-party rights.

16. Termination

Either party may terminate this agreement at any time. If we terminate your account for reasons other than a violation of these Terms, we will provide at least 30 days’ notice. We may suspend or terminate your access immediately if you violate these Terms.

Upon termination:

  • Your right to use the service ends.
  • You may request a data export within 30 days.
  • After 30 days, we may delete your data (subject to legal retention obligations).
  • You remain liable for any charges incurred before termination.

The following sections survive termination: Sections 7 (Content and Intellectual Property), 13 (Disclaimers), 14 (Limitation of Liability), 15 (Indemnification), 17 (Governing Law), and 21 (General).

17. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales.

Any disputes arising from or in connection with these Terms or the service shall be subject to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer, this does not affect any right you may have to bring proceedings in the courts of the country where you live.

We encourage you to contact us at legal@zeronoise.ai to resolve any issues informally before pursuing formal proceedings.

18. Beta Features

We may offer features marked as “beta”, “preview”, or “experimental”. These features are provided as-is, without warranty, and may be modified or removed at any time without notice. Beta features may have additional usage limits or reduced availability.

19. Force Majeure

We are not liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of government, internet or telecommunications failures, power outages, or outages of third-party services we depend on (such as AI providers or cloud infrastructure).

20. Electronic Communications

By creating an account, you agree to receive electronic communications from us, including transactional emails (account confirmations, billing alerts, trial notifications, and service updates). These communications are part of the service and cannot be opted out of while your account is active. We will not send marketing emails without your separate consent.

21. General

  • Entire agreement. These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and ZERONOISE AI LTD regarding the service.
  • Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full effect.
  • Assignment. You may not assign your rights under these Terms without our written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.
  • No waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
  • Modifications. We may update these Terms from time to time. We will notify you of material changes at least 30 days in advance by email or through the service. Your continued use after the updated Terms take effect constitutes acceptance.
